General terms and conditions of sale

This document is prepared by PRO TECHS NEGOCE for business-to-business sales. It is an English courtesy translation: the French version prevails in the event of a discrepancy.

Seller: PRO TECHS NEGOCE, SASU (simplified joint-stock company with a single shareholder) with share capital of €10,000, whose registered office is at 11 rue de Fontenay, 92340 Bourg-la-Reine — SIREN 108 434 317, SIRET 108 434 317 00013, RCS Nanterre B 108 434 317, EU VAT FR 77 108 434 317.

Article 1 — Scope

These general terms and conditions of sale (GTC) apply to all sales of personal protective equipment concluded by PRO TECHS NEGOCE with business customers. Any order implies unreserved acceptance of these GTC, which prevail over the buyer's purchasing terms unless otherwise agreed in writing. Sales to consumers are not provided.

Article 2 — Quotes and orders

Prices shown on the site are indicative and exclude taxes. Every enquiry submitted through the site results in a named quote specifying references, quantities, prices, lead times and any additional charges. The quote is valid for the period stated on it. The order becomes firm upon the customer's written acceptance of the quote.

Article 3 — Prices

Prices are expressed in euros excluding taxes, transport, special packaging and customs duties. They may change according to volumes, supply costs and exchange rates. The applicable price is the one stated on the accepted quote.

Article 4 — Availability and delivery

Stock indications displayed on the site are provided for information and may vary. Lead times stated on the quote are estimates; a delay cannot give rise to cancellation of the order or to compensation, unless specifically agreed in writing. Goods travel at the recipient's risk; the recipient must check the condition of the parcels on receipt and raise any reservations with the carrier.

Article 5 — Payment

Payment terms and deadlines are stated on the quote and the invoice. Unless otherwise agreed, no discount is granted for early payment. Any late payment automatically triggers late-payment penalties as well as the fixed recovery-cost indemnity provided for by the applicable regulations.

Article 6 — Retention of title

Delivered goods remain the property of PRO TECHS NEGOCE until their price has been paid in full. Transfer of risk, however, takes place as soon as the goods are handed over to the carrier.

Article 7 — Conformity, claims and returns

Any claim concerning an apparent defect or non-conformity must be submitted in writing within days of receipt, with the order references and relevant supporting evidence. No return is accepted without the prior written agreement of PRO TECHS NEGOCE. Returned products must be new, in their original packaging and unmarked.

Article 8 — Warranties and use of the equipment

The equipment supplied complies with the standards stated on its product pages and data sheets. The customer remains responsible for selecting equipment in light of the risk assessment of its own sites, for making it available to users, for training its staff and for observing service life and periodic inspections (in particular for fall-arrest equipment).

Article 9 — Force majeure

PRO TECHS NEGOCE cannot be held liable in the event of force majeure or any event beyond its control affecting supply or transport (factory shutdown, logistics blockage, administrative measures, loss or damage).

Article 10 — Governing law and jurisdiction

These GTC are governed by French law. Failing an amicable settlement, any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts of the registered office of PRO TECHS NEGOCE.
